THE PREMISES OF THE GENERAL TYRE COMPANY IN HAMA

 

Dear Sirs

 

We'd like to inform you that our company is one of the companies owned 100% by the state . It belongs to the General Establishment for Chemical Industries, which in turn belongs to Ministry of Industry. The company was established in 1975 when the construction contract was signed with the Czech company Technoexport on turn-key basis. Operation trials started on 6.9.1980 and commercial utilization started on 1.10.1982 , and we are still working up to this date.

 

- Production capacities (contracted) are about (15000) tons in finished products (tyres + tubes) distributed over about (50) sizes in various kinds radial, diagonal, and in the following categories: heavy & light truck tyres, agricultural (tractor) tyres (front & rear) , and passenger tyres .

- Presently, our production capacity is about (7000) tons per year for the exclusion of low-demand sizes such as diagonal passenger tyres.

 

-  Modernizations during operation period:

Limited modernizations have occurred during the operation period of the company (over a period of 30 years of production). The most important ones are the following:

A) Purchase of tractor tyre building machine from VMI/Holland in  

     1998.

B) Purchase of (two) curing presses 65"and (one)curing press 75"

     from Ozermakina /Turkey. These were put into trial operation  in

     2009.

C)  Purchase of (3) screw air-compressors from well-known

      companies.

D)  Purchase of a number of laboratory systems / equipment.

E)  Purchase of an agricultural tyre 28" technology. Utilized as from

      the beginning of 2010.

Additionally to the above: general maintenance procedures, and making the necessary replacement to keep the readiness of production lines such as mixing chambers, pumps, and others.

 

- The strategic vision of the our Company's Administration and its Trusteeship Authorities focus on re-qualifying, modernizing, and developing the Company through finding partners who are able to finance the investment cost, one of them should be a Strategic Partner with long-standing experience in the tyre industry and should provide
a Famous Trademark that allows us to get a permanent technological support. In this partnership, our company will offer its share physically in form of the fixed assets it has at present. The assets will be evaluated at the currently prevailing prices, and when an agreement is concluded with the possible partner, the needed legislations will be issued to meet the interests of the contracting parties. The targeted investment project aims at obtaining an attractive investment revenue. This advantage is actually available as our company enjoys a lot of advantages that can be summarized in the following:

 - The company owns spacious areas of land (583000 Sqm.) about only (4 km.) away from Hama city. It is assigned for heavy industry and as such it can be used in the company's extension of activity and increasing of production capacity.

- Presence of industrial buildings & constructions such as production halls, warehouses, administration buildings. Their total area is about (94000 Sqm) and they are in a good technical condition.

-  Possibility to utilize the energy section well after supporting it with a limited-cost modernization. Company's construction contract already includes the possibility to increase the production capacity for 25% of the contractual capacity. The energy section is already designed to accommodate this extension.

-   Presence of sufficient sources of water and electricity to cover the company's need in any future extension /developments of its production capacities.

 

 

-  Possibility to renew the permanent labor with young youthful labor: The permanent  manpower forms the smaller portion. It is the expert and trained manpower, whereas the larger part will be youthful manpower employed under temporary annual renewable contracts and this gives the possibility to flexibly employ them according to the requirement of the actual operation capacities, and thus excluding this factor from pressuring production costs (as a fixed or semi-fixed cost). This possibility has become available as a result of the gradual decrease of the permanent workers number. Presently it is (700) workers i.e. only 50% of the permanent manpower of 1983. Besides, most of those permanent employees have their ages  close to pension age and have service years that allow them to go on pension at any time.

- Presence of satisfactory technical & administrative experiences gathered over a period of more than 30 years in the field of construction & operation in tyre industry.

 

Among the advantages to be granted by the state to those interested in the joint–venture are the following:

   - The customs duty on the imported agricultural & truck tyres will

      be 25%.

- The partner will be exempt from profits income tax for five years.

- When the industrial record is granted to the partner, the rate  of the customs duty on the passenger tyres will be raised to 25%.

- No license to set-up a tyre manufacturing establishment will be granted over a period of seven years as of the date when the industrial record is granted to the strategic partner.  

            

Generally, we can express our point of view for the development of the Company as follows: development of production of the existing sizes such as the agricultural & truck tyres of all types that are in demand in the local market as well as introducing new modern sizes that meet the need of the Syrian and neighboring countries markets. We think that the economic  feasibility of the project becomes rewarding when production exceeds (30000 tons per year ) which is hardly 20% of the Syrian market demand for tyres. Certainly, the quality and quantity of the proposed production/products depend on the economic feasibility studies on the one hand, and on the utilization rate of the production capacities of the
 

 

existing production lines as proposed by the potential partner, on the other hand.

 

The potential  partner is entitled to make its proposals however numerous or diverse they are and whether they are of legal, organisational, or materialistic nature which the partner deems convenient so that they can be jointly studied in order to achieve the goal from setting-up this joint company.

FINANCIAL CONDITIONS

PRICE - OFFERS  FOR  PURCHASE OF PUMPS

 

Art.1: Purpose of the communication :

Calling international- internal price-offers for buying (2) pumps together with the suitable motors to run them, as needed by our company, in accordance with the two books of the financial conditions and the Technical Specifications, both laid-down for this communication and are all considered an integral part of this communication, in accordance with the following table :

Art.2:Bonds :

A-      Bid bond against an international offer is to be submitted for the amount indicated next to each item in the above Table, in form of one or more banking guarantees in favor of General Tyre Company in Hama, issued in Euro or its equivalent in other foreign currencies by any bank in Syria approved by the competent authorities. Administration will prefer to deal with the Commercial Bank of Syria, Branch No.1 in Hama (SWIFT:CMSYSYDAAHA1) provided that the  bid bond is issued by the Syrian bank before the expiry of the  closing date and  is received by the committee before the date of the first session for offers opening. Every offer uncovered by a bid bond or the bond of which arrives late , shall be declined  .

B-      Bid  bond against an internal offer is to be submitted for the amount indicated next to each item in the above table in form of one or more banking guarantees issued by any bank in Syria approved by the competent authorities. Administration will prefer to deal with the Commercial Bank of Syria, Branch (1) in Hama, or in form of a cheque authenticated by any bank in Syria approved by the competent authorities and endorsed in favor of Administration, or in form of a payment Note for the cash-payment of the sum in the cashier office of Administration, or a banking transfer. However, these all should be issued before closing date and should be received by the committee before the date of the first session for offers' opening. Every offer uncovered by a bid bond  or the bond of which arrives late , shall be declined.

C-      Performance bond:

1. Performance bond for international offers shall be submitted for 10% of the total value of each   confirmed  item within /21/ calendar days from the date of the written notification of the contracting awarding decision to the contractor, in the same method as specified for bid bond submission .

2- Performance Bond for internal offers :

The performance bond shall be submitted, before signing the contract, for 10% of the total value of each confirmed item within / 5 / calendar days as of the date when the contractor is advised in written the decision of the contracting awarding to him, in the same method as specified for submitting bid bond. However, the submitted bid bond can be treated as a performance bond if the bidder has settled the difference between the two bonds' amounts. If the bid bond is submitted in form of a bank guarantee, it must be replaced with a new guarantee for the amount of performance bond, and the bid bond shall be returned to him immediately, and the contractor shall bear the expenses of the two bonds: the bid and performance bonds .

D-      For international offers, the bid bond shall be released to the successful bidder immediately after receiving the performance bond, and the contractor shall bear all expenses of the bid and performance bonds issued by him inside and outside Syria. The bond of the unsuccessful bidder shall be released immediately after the issuance of the Committee's Minutes and he shall bear all the expenses of the bond inside and outside Syria .

E-       For internal offers, the successful bidder's bid bond shall be released immediately after receiving the performance bond. As for the unsuccessful bidder, his bid bond shall be returned to him immediately after the issuance of the Offers' Opening Committee Minutes / Act, and he shall bear all the bond's expenses .

F-       Bid bond shall be returned to the bidder whose offer was not accepted by the Offers' Opening Committee , immediately .

G-      Declined offers shall be returned to the bidders without opening, on their demand.

H-      If the performance bond is not issued within the specified time-frames , the Administration has the right to seize the bid bond and purchase on the account of the contractor and sue him for the resulting damages and take all the legal procedures that guarantee Administration's right, without giving any warning or notice .

Art.3: Prices:

  A-          Prices for an international offer

-          Prices of an  international offer should be quoted in Euro (unit and total) FOB country of origin or export port and CFR Lattakia provided that the shipment shall be effected exclusively through the Syrian General Authority for Maritime Transport or by its agreement,  on regular and new vessels. The age of the vessel should not exceed (15) years. If the age of the vessel is higher up to (30) years, it must travel along a regular line, otherwise penalties for vessel age shall be incurred. The shipment shall be effected  in containers as FCL or LCL  with a demurrage free time of not less than (21) calendar days from the last day of vessel discharging day in the Syrian port of destination.

-          Bidders who wish to make their offers on basis of land transportation by trucks should submit their prices on the basis of delivery FOT on the transporting truck at the warehouse of the producer or beneficiary and CPT Hama to Administration warehouse .

-          Bidders who wish to make their offers on the basis of shipment by train should quote their prices on the basis of shipment FOT on train ( at train station ) in the country of origin, and should give the name of the train station, and  CPT Hama Train Station or the warehouses of the company.

-          The packing should  be good for transportation by sea and by land to guarantee the arrival of the goods to Administration warehouse in good condition, and conforming to the technical specifications and packing as indicated in the books of conditions . If the materials are supplied in a wooden packing , the wooden packing material should be disinfected and stamped by the international official stamp of standard No.(15) issued by United Nations Food & Agriculture Organization ( FAO ) that indicates that these materials have been thermally – treated ( HT) or Methyl Bromide-treated ( MB ).

-          If the confirmation to the contractor is CFR based, he must open a letter of credit for the amount of freight charges to Syriamar (The Syrian General Authority for Maritime Transport) or transfer the freight charges to its account, or agree on a convenient means with it . International contractor should provide Administration with what evidences that the shipment has been effected through or by  agreement of ( Syriamar ) the Syrian General Authority for Maritime Transport by fax , and should present the original copy alongwith the original documents to the bank .

-          The contractor , pursuant to an agreement from Syriamar , may ship through a transporting company of his choice, for the charges he deems convenient, but he shall pay to Syriamar's agent a commission amounting to 5% of shipping charges. The performance bond shall not be returned to him unless has presented a document evidencing that the shipment has been effected through  or by agreement of  Syriamar .

B-            Prices for an internal offer :

The prices shall be quoted on the basis of goods delivery up to Administration site.

C-             International and Internal offers shall be compared on the basis of the cost of the

goods delivered up to Administration site by adding to the international offers all expenses  incurred on  the order  up to  the  point when it reaches Administration site .

D-            The submitted prices shall be final and non – reducible prices .

E-            The insurance relating to the contracted materials shall be made by Administration through the Syrian General Establishment for Insurance.

Art.4: Payment :

A-         For international offers the payment for the deliveries shall be effected as follows:

90% of the documentary L/C value against presentation of clean documents to the bank .

10% of the documentary L/C value after the issuance of provisional Acceptance Act ( after the success of the actual functioning of the pumps for 72 continuous working hours in the respective circuits in accordance with their working nature) .

The payment shall be effected against a documentary letter of credit irrevocable and confirmed. The confirmation expenses in Syria shall be on Administration's account, and on the contractor's account outside Syria. As for the selection of the correspondent and L/C advising banks, this is the business of the General Directorate  of the Commercial Bank of Syria. However, the bidder's preference (for a certain nominated bank ) can be conveyed to the General Directorate, but this preference shall not constitute a binding condition to Administration  .

-          Expenses for amending or extending of L/C shall be  borne by the causing party, but the  contractor shall not be exempt of delay penalty as mentioned in Article (6) of the Financial Conditions booklets in case of unjustifiable extension of L/C that  leads to late arrival of the deliveries to Administration site .

B-For internal offers: The payment  shall be effected against of a contract governing the obligations of the two parties in accordance with the Law No.51 and the Decree No.450 for year 2004 after the issuance of provisional Acceptance committee Act (after the success of the actual functioning of the pumps for 72 continuous working hours in the respective circuits in accordance with their working nature) .

-       Local Bidders and those treated so will make use of Prime Minister's resolution

No.1040 dated 15.3.2004  and its amendments.

Art.5: Delivery :

A-      For international offers : Shortest period of time  .

B-      For internal offers : Shortest period of time, and the offered goods should be available in the bidder's warehouses or in the local market .

C-      If the offers are equal in all their conditions , preference will be given to the offer the maker of which undertakes to execute the undertaking within a shorter period than quoted in the other offers.

Art.6: Delay Penalty :

A-        Delay penalty shall be imposed on the contractor who delayed the delivery of the goods of the undertaking beyond the dates specified for delivery or who delivered goods inconsistent with the contracted conditions and specifications and has not replaced  them with consistent  goods within the said dates even if the public authority has not suffered any damages /delay  penalties, for 0.005

( five per thousand ) of the total value and the total of delay penalty will not exceed (20%) twenty percent of the total value of the undertaking.

The daily delay penalty will be calculated on the basis of the value of the part in delay if the following two concomitant  conditions are  fulfilled :

1-       The other materials have been delivered within the indicated time-limits

2-       The part in delay is independent, in normal use, of the other delivered materials .

B-         If thirty days have elapsed after the time frame set for obligation fulfillment, and the contractor failed to deliver the contracted goods or failed to present what proved his possession of them, the Administration shall have the right, without the need for giving any warning or notice, to purchase the contracted goods at his account, through a tender, a contract by mutual agreement, or through Deposit method, in addition to imposing the delay penalty in accordance with provisions of paragraph (A) of this article .

Art.7: Bidder's commitment to its offer :

The bidder shall be committed to its offer for (60) calendar  days from closing date for confirmation. The bidder shall keep committed to its offer throughout the validity period indicated in the offer or the books of conditions . The offer validity shall be extended before its expiry by mutual agreement of the two parties. If the successful bidder is not given the confirmation order within the offer validity, he shall have the right to get free of its offer within (7) calendar days following the expiry of the said period under a written letter to be registered in the general office of the contracting party, otherwise the bidder's commitment to its offer shall be renewed for another period equaling to the first period and so on every time, provided that the engagement period of the nominated contractor to his offer does not exceed six months .

-The bidder shall be committed to its offer for (180) calendar days as of the confirmation date for L/C opening , subject to be extended by mutual agreement of the two parties .

Art.8 : Offers Submission Method:

The offers should be submitted in (3) closed envelopes . These envelopes should be put in a fourth envelope addressed in the name of the General Tyre Company in Hama, and it should be marked in the subject of the offer in accordance with the following :

8-1 Envelope (1) containing the following supporting documents:

A- For internal bidder :

1-       A written declaration from the bidder to the effect that he is not banned of entering tenders or contracting with Public Authorities, and is not one whose money is under precautionary seizure or executive seizure in favor of public authorities.

2-       He should be registered in the Trade Register, with respect to Syrian bidders and those legally treated so.

3-       He should be registered in a chamber of commerce, agriculture, industry, or tourism, as the case may be, in Syria with respect to Syrian bidders and those legally treated so .

4-       He should not be a worker for a public authority, nor a member of an executive office belonging to the Local Administration specifically in his governorate ( under a newly-dated written declaration by the bidder, with respect to natural persons)  .

5-       He should not be convicted of a felony or a shameful crime unless his respect is given back to him ( A newly-issued "non-convict" police record ) with respect to natural persons .

6-       List of the names and quantities of the offered materials , and the amount of bid bond for each one .

7-       The required bid bond or a notice of its issuance .

8-       Address of the chosen domicile of the bidder, as per article (14) .

9-       Indication of bidder’s financial and technical qualifications, and his fulfillment of the conditions which he is required to meet under the valid stipulations .

10-    FORM (A) duly filled-in, together with mentioning the parties for whom the bidder has executed similar projects or sales contracts .

11-    Submission of a declaration from the bidder to the effect that he has viewed the books of conditions, the General and special ones ( the legal, technical and financial ones  ) and the tables of the mentioned deliveries' items, and that he accepts all the communication conditions ( Financial, technical, and legal). A fiscal stamp for  Syrian Pounds (1000) should be affixed to this declaration in fulfillment of the Notice No. 18/BE/15 of 14.8.05 issued by Ministry of Finance. If the stamp is not affixed, Administration may deduct the amount the way it deems convenient .

12-    Public Authorities shall be exempted from submitting all the documents mentioned  above in this article .

13-    It is possible to replace the documents specified in this article with a certificate issued by a public authority to the effect that it has those documents available with it, and that they fulfill their legal conditions provided that these documents will be submitted upon awarding the business to the bidder .

14-    It is a condition that " not more than three months " have elapsed after the issuance of the documents indicated in the items ( 2-3-4-5 ) .

15-    If a local bidder wishes  to make use of the advantages of Resolution No.1040 of 15.3.2004 and its amendments , he must submit a document containing that the percentage of the added value which is indicated in the mentioned resolution and exceeds the 40 % limit and all the other documents specified in it are certified by the Ministry of Industry or its directorates in the Governorates .

B)  For Foreign bidder :

1-       He shall comply with items (1-6-7-8-9-10-11) of article (8-1) paragraph (A) .

2-       A declaration that the offered materials are produced ( manufactured ) by the bidder . If the bidder is not the manufacturer of the materials , he should submit a letter of authority issued by the producer by which he authorizes the bidder to sell the offered material in Syria , provided it is in the original copy .

3-       A copy of the Agency document of the bidder's agent in Syria newly certified by the Syrian Ministry of Economy & Trade, according to Article No. 15, or submission of a declaration by the bidder to the effect that he is under commitment to submit a copy of the agency document recently certified, before confirmation of the order , and in accordance with Decree No.15 and its executive instructions.

4-       A declaration from the bidders ( in the countries where there is no Syrian Embassy ) to the effect that they confirm their agreement on transferring or settlement of consular charges / fees together with their fines on the demand of the Buyer, or their agreement to deduct the levied amount from the performance bond, according to Article No. 11.

5-       Submission of the following declaration literally, and signed by the bidder : " We do not own any factory, establishment, or a branch office in Israel, and are not a participant in any establishment or any corporation in it, and are not party to any contract for manufacture, assembly, license, or technical assistance with any establishment, corporation, or person in Israel, and do not practice such an activity in Israel whether by ourselves or through an intermediary, and do not share in any way in supporting Israel and its warfare effort".

6-       Foreign companies which have no branch or a resident representative in Syria shall be exempted from submitting the documents specified in the items ( 2-3-4-5) of Article 8-1- Para (A) .

  8-2- Envelope (2) containing the Technical offer, the Technical specifications, and the

detailed drawings in accordance with the Technical Conditions, and stamped in the bidder's stamp and signed by him. It should not contain any prices, reservations, or legal / financial conditions. If any of these occurs, they will not be considered .

8-3- Envelope (3) containing the  financial and commercial offer, together with the 

table of unit and total prices and the quantities and their volume after packing  and capacities of containers (20-40) feet, delivery time, shipping port, containers’ demurrages free time of not less than 21 calendar days in case of CFR confirmation as per article (3), and it should be stamped in the bidder's stamp and signed by him .

Art.9 : Division of offers :

The Bidder  may offer any one of the communication items, and the Administration may select any one of the offered items from any bidder, in accordance with business requirements  .

Art.10 : Quantity modification :

The Administration may increase or decrease the quantity of the confirmed goods at a rate not exceeding (30%) for each item of the undertaking, each alone, under the same conditions and prices as in the contract without the need for a new contract, provided that the value of the total increase or decrease does not exceed 25% of the total value .

-          In case of increase, the contractor shall be granted an additional period of time proportional to the nature and amount of such increase, and this applies only for such increase .

Art.11 : Legalization of commercial invoice and certificate of origin : 

For international offers, the contractor shall get one copy of the invoice and one copy of the certificate of origin legalized in the Syrian Embassy and certified by  the  Chamber of commerce in the country of origin, country of export, or country of beneficiary. If a Syrian  embassy is not there (in these  countries ), one original copy of the invoice and certificate of origin should be certified by the Chamber of Commerce in  one of these countries provided that the Contractor will confirm his agreement to transfer the amount of consular charges plus 50% of the amount of consular charges as a penalty for non-legalizing them in the Syrian Embassy, and should confirm his agreement to our deducting them in the amount of the performance bond . In all cases, the consular fees plus the fine do not exceed USD 2266 per shipment .

-       As for the bidders for goods from Arab origin, they shall be committed to  present  the certificate of origin in the format of the Arab League .

-          Arab states who are members of the Large Arab Free Trade Zone Agreement, or Arab and foreign  states who signed bilateral trading agreements with Syria shall be exempt from the consular legalization of certificates of origin and commercial invoices for the goods of national origin provided a like-treatment is applied .

Art.12 : Proforma invoice : 

International Bidder shall send by fax a Proforma invoice in conformity with the order-confirmation terms within (7) calendar days as of the  date of advising him the confirmation. The original copies should be sent by express mail so as to be received by Administration within (20) calendar days as of the date of his receiving the confirmation fax. If the contractor has  not submitted  the documents and information mentioned above   after the expiry of the fixed time-frame, Administration shall be entitled to withdraw the undertaking and purchase on his account .

Art.13: Original documents for customs clearance ( Shipment Advice ) :

The Contractor shall submit the original documents to the correspondent bank within (7) calendar days at most ,with respect to the neighboring countries the goods shipped from which to Syria take (5) calendar days, as it is essential to receive the original documents for customs clearance, and shall send an original copy of Bill of Lading by express mail . As for the other countries, the contractor shall submit the original documents to the correspondent bank within (21) calendar days.

- The supplier shall send a copy of the bill of lading and invoice by fax to Administration, as a notice of the shipment of the goods, within (3) calendar days as of B/L date.

Art.14 : Chosen Domicile : 

The Bidder shall specify a Chosen Domicile for himself in Syria clearly and explicitly, indicating city name, quarters name, street name, building No., and flat No. The address of a hotel or House of a Commercial Attaché of an Embassy is acceptable for a chosen domicile conditionally on submitting a written consent from them. The said chosen domicile shall be considered a binding one for the contractor even if he moves from it to another domicile, unless he advises Administration, in written, about his new chosen domicile in the same city, otherwise all notifications to be sent to his first chosen domicile shall be considered legally correct, inclusive of judicial notifications.

-       A bidder who is non-resident of Syria or a foreign bidder shall have the right to specify a chosen domicile for himself outside Syria in the same way as indicated for specifying the chosen domicile inside Syria

Art.15. Trading Agent

No dealings with middlemen or brokers are permitted unless they are official agents . The offers shall be submitted by producers or those they authorize to sell their products in Syria. It is preferred also that the country of origin and country of shipment and country of the contractor are one country unless they belong to the EEC. Bidders who have official agents in Syria should explicitly mention the names of their trading  agents in Syria , in accordance with the legislative decree No . 51 for the year 1979 and the provisions of the legislative decree No. 15 for the year 2001 and the resolution of Prime Minister No . 25/ M dated 19.6.2002 which provides for accepting International offers the total value of which do not exceed USD 100000 with respect to bidders who do not have agents in Syria . Companies who have permanent branches in Syria are excluded from submitting the agency document provided that they will submit copies of their "Branch Registration in Syria". Official agents of the bidders in Syria should send copies of their Agencies documents approved by the Syrian Ministry of Economy and Foreign Trade whatever the value of the undertaking amounted.

-               If the bidder is a commission agent, he should clearly indicate in his offer the net   rate of his commission . This commission shall be paid directly to the agent in Syrian Pound based on the exchange rate which the Foreign Currencies Exchange Bureau specifies and which is valid on the L/C opening date. Alternatively, there can be a direct transfer of the value after the final acceptance in accordance with the contractual conditions . This shall be effected through deducting the agency commission rate from the due invoice, and it is  transferred by Administration to the agent .Therefore, the commercial invoice should contain the agent's name, the agent's commission rate, and an authorization to our bank to deduct the commission .

Art.16: Stamp Duty and Income Tax ,

1-       All the taxes , charges , expenditure , and the expenses of L/C opening and confirmation shall be borne by the contractor outside Syria , and also  the expenses of issuing the bank guarantees and the fees of the consular

legalization ,and the contractor shall also  bear the contract stamp duty for two copies amounting to (0.008) eight per thousand of the total order value. This duty , without any need for reminding ,should be transferred to the account of Hama Finance Directorate with the Central Bank of Syria in Hama ( No. 3203/20) within (30) calendar days as of the date when he receives the  order confirmation . The contractor should send a copy of the transfer Swift to Administration by fax within (3) days of Transferring provided that the full amount should be received in Hama Finance Directorate account. If the amount is not settled within the fixed time-frame , a fine equaling two times the stamp duty amount will be imposed .

2-       Syrian Contractors and those legally treated so, shall bear 2% of the value of the deliveries as an income tax and it shall be transferred to Hama Finance Directorate in accordance with Law No. 60/2004 .

Art.17: Marking of the Materials :

The Supplier shall register the goods name , net and gross weights, production date , and producer name on the supplied goods packing .

Art.18: Notification: 

A-          All advisings, correspondence, notifications, and warnings to be sent from Administration to the contractor shall be considered correct when they are delivered to him personally or to his agent or legal representative or when they are sent to his chosen domicile or to his agent or legal representative by registered mail or telegraph provided that it confirms  its content by a registered letter to be sent by mail or by one of the means acceptable for judicial verification, to the address indicated by him in the contract, and the contractor shall be held as legally advised of these correspondence, notifications, and warnings, as under:

1-       Immediately, in case when they are delivered to him, his agent, or his legal representative .

2-       Within (48) hours, if they are sent by telegraph  .

3-       Within (5) days with respect to contracts, if they are sent by mail to his chosen domicile as indicated in the contract.

B-           If it is not possible to effect the advising in accordance with what is mentioned in this article, the Administration in case of need may resort to advising him in a local newspaper .

C-           The contractor shall be  held responsible for all his obligations and liable for the levied delay penalties immediately after their fixed dates have fallen due, without the need for any warning  or procedure by  the Administration .

Art.19: Signing of the contract (FOR INTERNAL CONTRACTOR ):

The nominated contractor should sign the contract within (15) calendar days as of advising him the awarding of the business to him. If the nominated contractor has failed to sign the contract within (15) days as of advising him the awarding of the

business to him, and if he has failed to present himself or has refrained from signing the contract in accordance with the provisions of the special conditions book and his accepted offer, the submitted bonds shall be seized, and the public authority shall have the right to claim from him a compensation for all the damages in case of need .

Art.20: Acceptance :

Administration will set-up a committee with task of making a provisional acceptance of the goods of the undertaking . The process of the acceptance by the committee will take place within a week of the goods arrival to Administration site, The committee will lay-out the needed Act ( Minutes ) that contains the acceptance  of the goods and the description of their condition .

-          Final acceptance of all the items of the undertaking will take place after a period of one year from the date of Provisional Acceptance .

Art.21: Matching :

The supplied goods will be compared at Administration's site for matching with shipping documents, by a special committee. The Contractor may send his representative to attend this matching process .

Art.22: Guarantee :

A)            The contractor shall guarantee all the contracted items for ( 365 ) calendar days as of the provisional acceptance date, and he shall be obliged, throughout this period, to replace any machine, material, or part that prove to be ill-functioning or ill-manufactured, but he will not be responsible for the defect caused by Administration .

B)            The machine in which a main part has been replaced shall be given a fresh guarantee period equal to the original guarantee period starting from the replacement date and putting it in operation again .

C)            If, after the expiry of the mentioned guarantee period, there appeared a defect which the contractor intended to conceal, the guarantee shall be valid for the original guarantee period starting from the date of fault appearance or knowing about it .

D)            all the supplied items shoud be new, not re-conditioned, and have not been previously put into operation .

E)             The contractor will bear all the expenses of the guarantee trials if they  fail inclusive of the cost of the wasted raw materials if he is the causer of that .

Art.23: Inspection of the goods :

The Administration has the right to depute one or more representatives to see and inspect, or test any one of the communication's items before shipment in order to verify their conformity with the technical specifications submitted in the contracted offers, at Administration's account, without any responsibility for its part. However, this will not discharge the contractor from its responsibility that may arise from shortage or faults and ill-manufacture .

Art.24: Manufacturer Certificate :

The supplier should submit a manufacturer certificate containing that the technical specification of the supplied goods are in conformity with the submitted offer, and all the required technical clarifications .

Art.25: Settlement of disputes :

All differences that may arise between the contractor and Administration shall be amicably settled , but if an amicable agreement to solve them could not be achieved, they shall be referred to the Syrian courts of law for trying in accordance with the laws and regulations in force in Syria .

Art.26: Closing date :

Closing date is the end of the official working hours on  5 . 10 . 2011.

Offers’ opening session will take place in the meeting room of the General Tyre Company in Hama on the day next to closing date . All bidders, or their agents , if they  are  authorized by the bidders , may attend the said session . Offers by fax,  e-mail , or by any other means inconsistent with what is mentioned in Article (8) will  be declined .

Art.27:

The Law No. 51 and Decree No. 450 for year 2004 shall be applied for all that is not mentioned in the conditions of this communication, and if these texts are insufficient, the Syrian Arab legislation shall be the competent reference for interpretation .

TECHNICAL  CONDITIONS AND SPECIFICATIONS

FOR BUYING HORIZONTAL CENTRIFUGAL MULTI-STAGE PUMP QUANTITY (2) TOGETHER WITH ELECTRIC MOTORS

 

1)       Flow: 75 M3/ hr.

2)       Lift  : 175 m.

3)       The motor (quantity 2) suitable to run the pump 220/380 volt, 50 Hz.

4)       The bidder should be committed to supply each pump and motor installed on one joint metallic base connected to the suitable connecting systems.

5)       The pump and the motor will be installed in the hot water station in the pressure (28) circuit, where:

a.        The pump draws hot water from a tank with about ( 10 Atm) pressure. The hot water temperature is 175-182˚C.

b.        Temperature of the ambient where the pump and motor will be installed is about 50˚C.

6)       The bidder should supply the following parts with the offered pump:

-          Set of impellers (quantity 2) consistent with the design of the offered pump.

-          Shaft ( quantity 2 ) consistent with the design of the offered pump.

-          Set of sealings  (quantity 2) and set of packings (quantity 4) consistent with the design of the pump, if any.

7)       The pump and the motor will be put into operation all round the year without stopping.

General Conditions:

1-       The bidder should supply the technical documents that show the pumps specification, their origin, and clear description of their working conditions.

2-       The bidder shall be committed to supply the catalogues and technical documentation as needed for the maintenance works, and the assembly & disassembly works, in English, in three copies.

3-       The bidder should guarantee the perfect functioning of the pumps for 365 calendar days after the completion of provisional acceptance works and putting the pumps into utilization .

4-       Provisional acceptance process will be carried out by a committee to be set up for this purpose, after the completion of the following:

a.        Installing the pumps within (30) days as of the date of accepting the pumps in accordance with the contract, and by admitting them into the warehouses of the General Tyre Company.

b.        After completing the connection works and preparing the pumps for working, the pumps will be put into operation for (72) hours in the circuits they are assigned to, in conformity with their work nature .

c.        After the success of the testing works, the pumps will be put into utilization, and the guarantee period starts .

5-       The bidder, if possible, should be committed to check the pumps periodically during the guarantee period, and he should specify this in the offer .

FINANCIAL CONDITIONS

COMMUNICATION CALLING INTERNATIONAL–INTERNAL PRICE-OFFERS UNDER A CONTRACT BY MUTUAL AGREEMENT

FOR QUALIFYING & MODERNIZING ONE PRESS SIZE  63½" B.O.M.

 

 Art.1: Purpose of the Communication:

Calling International-Internal price-offers for qualifying & modernizing one press size 63½" (B.O.M. dual-dome) manufactured by Skoda (Czech Rep.) in 1978 in accordance with the two Books of the Financial conditions and Technical Specifications, laid-down for this Communication and they all are considered an integral part of this Communication.

Art.2:Bonds:

A-      Bid bond

1.        Bid bond against an international offer is to be submitted for Eur 5000 in form of one or more banking guarantees in favor of General Tyre Company in Hama, issued in Euro or its equivalent in other approved  foreign currencies except the U.S. Dollar, by any bank in Syria approved by the competent authorities. Administration will prefer to deal with the Commercial Bank of Syria, Branch No.1 in Hama (SWIFT: CMSYSYDAAHA1) provided that the bid bond is received in the General office of our company before the expiry of the  closing date. Every offer uncovered by a bid bond or the bond of which arrives late, shall be declined.

2.        Bid  bond against an internal offer is to be submitted for 300.000 Syrian Pounds in form of one or more banking guarantees issued by any bank in Syria approved by the competent authorities. Administration will prefer to deal with the Commercial Bank of Syria, Branch (1) in Hama, or in form of a cheque authenticated by any bank in Syria approved by the competent authorities and endorsed in favor of Administration, or in form of a note of payment of the sum in cash in the Administration's cashier office, or a banking transfer. However, these all should be received in the General office our company before the expiry of closing date. Every offer uncovered by a bid bond  or the bond of which arrives late, shall be declined.

3.        For international offers, the bid bond shall be released to the successful bidder immediately after receiving the performance bond, and the contractor shall bear all expenses of the bid and performance bonds issued by him inside and outside Syria. The bond of the unsuccessful bidder shall be released immediately after the issuance of the Committee's Minutes and he shall bear all the expenses of the bond inside and outside Syria.

4.        For internal offers, the successful bidder's bid bond shall be released immediately after receiving the performance bond. As for the unsuccessful bidder, his bid bond shall be returned to him immediately after the issuance of the Offers' Opening Committee Minutes / Act, and he shall bear all the bond's expenses.

5.        Bid bond shall be returned to the bidder whose offer was not accepted by the Offers' Opening Committee, immediately.

6.        Declined offers shall be returned unopened to the bidders on the demand of the bidder.

B-            Performance bond:

1. Performance bond for international offers shall be submitted for 10% of the  total value within /30/ calendar days from the date of the written notification of the contracting awarding decision to the contractor, in the same method as specified for bid bond submission.

2.  Performance Bond for internal offers:

The performance bond shall be submitted, before signing the contract, for 10% of the total value within /10/ calendar days  as of the  date when the contractor is advised in written the decision of the contracting awarding to him, in the same method as specified for submitting bid bond. However, the submitted bid bond can be treated as a performance bond if the bidder has settled the difference between the two bonds' amounts. If the bid bond is submitted in form of a bank guarantee, it must be replaced with a new guarantee for the amount of performance bond, and the bid bond shall be returned to him immediately, and the contractor shall bear the expenses of the two bonds: the bid and performance bonds.

3.          The performance bond shall be returned after the expiry of the guarantee period specified as 365 calendar days as of the issuance date of the Temporary Acceptance Certificate.

4.          If the performance bond is not issued within the specified time-frames, the Administration shall have the right to seize the bid bond and have the execution done on the account of the contractor, sue him for the resulting damages and take all the legal procedures that guarantee Administration's right, without giving any warning or notice.

C-      If the Contractor decides to transport/move the press or any part of it to outside of the Company for re-qualifying and modernizing it, he is committed to submit a bank guarantee for (3561000 Syrian Pounds) or what equals (Euro 59350 ) in the same way as specified for performance bond submission. It should be issued before the date of handing the press over to the Contractor ex works of the Company by a committee to be formed for this purpose. This guarantee shall be released after the arrival of the press or part handed-over to the contractor in the Company. The Company shall provide the possible facilitation for the process of shipping the press to outside of Syria.

Art.3: Prices of Deliveries:

The bidder should specify the prices for all the deliveries, works, and charges levied on/ resultant from the qualification & modernizing process, in detail as unit and total prices. The prices of the deliveries should be submitted as follows: 

  A-          Prices for an international offer:

-          Prices of an  international offer shall be quoted in Euro (unit and total) FOB country of origin or export port and CFR Lattakia provided that the shipment is effected exclusively through the Syrian General Authority for Maritime Transport or by its agreement, on regular and new vessels. The age of the vessel should not exceed (15) years. If the age of the vessel is higher up to (30) years, it must travel along a regular line, otherwise penalties for vessel age shall be incurred. The shipment should be effected  in containers as FCL or LCL  with a demurrage free time of not less than (21) calendar days from the last day of vessel discharging day in the Syrian port of destination.

-          Bidders who wish to make their offers on basis of land transportation by trucks should submit their prices on the basis of delivery FOT on the transporting truck at the warehouse of the producer or beneficiary and CPT Hama to Administration's warehouse.

-          Bidders who wish to make their offers on the basis of shipment by train should quote their prices on the basis of shipment FOT on train (at train station) in the country of origin, and should give the name of the train station, and  CPT Hama Train Station or the warehouses of the company.

-          The bidder should specify the type of packaging in his offer provided that the  packing is good for transportation by sea and by land to guarantee the arrival of the deliveries to Administration's warehouse in good condition. If the materials are supplied  by an international supplier in a wooden packing, the wooden packing material should be disinfected and stamped by the international official stamp of standard No. (15) issued by United Nations Food & Agriculture Organization (FAO) that indicates that these materials have been thermally–treated (HT) or Methyl Bromide-treated (MB).

-          If the confirmation to the contractor is CFR based, he must open a Credit for the amount of freight charges to Syriamar (The Syrian General Authority for Maritime Transport) or transfer the freight charges to its account, or agree on a convenient means with  it. International contractor should provide Administration with what evidences that the shipment has been effected through or by  agreement of (Syriamar) the Syrian General Authority for Maritime Transport by fax, and should present the original copy along with the original documents to the bank.

-          The contractor, pursuant to an agreement from Syriamar, may ship through a transporting company of his choice, for the charges he deems convenient, but he should pay to Syriamar's agent a commission amounting to 5% of shipping charges. The performance bond shall not be returned to him unless has presented a document evidencing that the shipment has been effected through or by agreement of  Syriamar.

B-            Prices for an internal offer: The prices shall be quoted on the basis of deliveries  

          delivery up to Administration's site.

C-    International and Internal offers shall be compared by adding to international offers all expenses  incurred up to the  arrival in Administration's site.

D-            The submitted prices should be final and non–reducible prices.

E-            The insurance related to the contracted materials shall be made by Administration through the Syrian General Establishment for Insurance.

Art.4: Payment Terms:

1.    The payment for the deliveries shall be effected as follows:

 A.   For international offers, the payment for the deliveries shall be effected as follows:

§    90% of the Documentary Credit value against presentation of clean documents to the bank.

§    10% of the Documentary Credit value after the issuance of Temporary Acceptance Act.

The payment shall be effected against an irrevocable and confirmed Documentary Credit. The confirmation expenses in Syria shall be on Administration's account, and on the contractor's account outside Syria. As for the selection of the Credit's Correspondent and Advising banks, this is the business of the General Directorate  of the Commercial Bank of Syria. The bidder's preference (for a certain nominated bank) can be conveyed to the General Directorate, but this preference shall not constitute a binding condition to Administration.

-    Expenses for amending or extending of the Credit shall be  borne by the causing party, but the contractor shall not be exempt of delay penalty as mentioned in Article (6) of the Financial Conditions booklets in case of unjustifiable extension of  the Credit that  leads to late arrival of the deliveries to Administration's site.

 B.  For internal offers: The payment  shall be effected against of a contract governing the obligations of the two parties in  accordance with the Law No. 51and the Decree No. 450 for year 2004 after the issuance of Temporary Acceptance Committee Act.

 2.     All amounts levied on the works, and wages/charges needed for qualifying & modernizing  

         the press will be paid after the issuance of the Temporary Acceptance Certificate.

    -An internal bidder who offers materials from local production can make use of the   

      instructions and resolutions issued  in this respect.

Art.5: Delivery:

A-      For international offers: Shortest possible period of time but not exceeding (90) days as of the receiving date of the letter of credit. 

B-      For internal offers: Shortest possible period of time but not exceeding (90) days as of the receiving date of the commencement order, and the offered deliveries should be available in the bidder's warehouses or in the local market.

C-      If the offers are equal in all their conditions, preference shall be given to the offer the maker of which undertakes to execute the undertaking within a shorter period than quoted in the other offers.

Art.6: Delay Penalty:

A-      A contractor who delays the delivery of the deliveries of the undertaking beyond the dates specified for delivery or provides deliveries inconsistent with the contracted conditions and specifications and does not replace them with consistent  deliveries within the said dates,  even if Administration has not suffered any damages, shall be subjected to delay  penalties for 0.001 (one per thousand) of the total value provided that the total of delay penalty does not exceed (20%) twenty percent of the total value of the undertaking.

The daily delay penalty shall be calculated on the basis of the value of the part in delay if the following two concomitant  conditions are  fulfilled:

1-       The other materials have been delivered within the indicated time-limits

2-       The part in delay is independent, in normal use, of the other delivered materials.

Art.7: Bidder's commitment to his offer:

The bidder shall be committed to his offer for (60) calendar  days as of closing date for confirmation and for (180) calendar days as of  the confirmation date for opening of credit. The nominated contractor shall keep committed to his offer throughout the commitment period as specified in the offer or the books of conditions. If the credit is not opened or if he is not advised the commencement order within the specified period of time, he shall have the right, within (7) calendar days following the expiry of the said period of time, to get free of his offer under a written letter to be registered in the General office of the Company, otherwise his commitment to his offer shall be legally renewed for another period of time taking effect starting from the day that follows the expiry of the specified period of time  and so on every time, provided that the period of commitment by the nominated contractor to  his offer does not exceed (six) months.

Art.8. Offers Submission Method:

The offers should be submitted in (3) closed envelopes. These envelopes should be put in a fourth closed envelope addressed in the name of the General Tyre Company in Hama, and it should be marked in the subject of the offer in accordance with the following:

8-1. Envelope (1)  containing the following supporting documents:

A- For internal bidder:

1-       A written declaration from the bidder to the effect that he is not banned of entering tenders or contracting with Public Authorities, and is not one whose money is under precautionary seizure or executive seizure in favor of public authorities.

2-       He should be registered in the Trade Register, with respect to Syrian bidders and those legally treated so.

3-       He should be registered in a chamber of commerce, agriculture, industry, or tourism, as the case may be, in Syria with respect to Syrian bidders and those legally treated so.

4-       He should not be a worker for a public authority, nor a member of an executive office belonging to the Local Administration specifically in his governorate (under a newly-dated written declaration by the bidder, with respect to natural persons).

5-       He should not be convicted of a felony or a shameful crime unless his respect is given back to him (A newly-issued "non-convict" police record) with respect to natural persons.

6-       List of the names and quantities of the offered materials, and the amount of bid bond for each one.

7-       The required bid bond or a notice of its issuance.

8-       Address of the chosen domicile of the bidder, as per article (14).

9-       Indication of bidder’s financial and technical qualifications, and his fulfillment of the conditions which he is required to meet under the valid stipulations.

10-    FORM (A) duly filled-in, together with mentioning the parties for whom the bidder has executed similar projects or sales contracts.

11-    Submission of a declaration from the bidder to the effect that he has viewed the books of conditions, the General and Special ones (the legal, technical and financial ones) and the tables of the mentioned deliveries' items, and that he accepts all the tender conditions (Financial, technical, and legal). A fiscal stamp for  Syrian Pounds (1000) should be affixed to this declaration in fulfillment of the Notice No. 18/BE/15 of 14.8.05 issued by Ministry of Finance. If the stamp is not affixed, Administration may deduct the amount the way it deems convenient.

12-    Public Authorities shall be exempted from submitting all the documents mentioned  above in this article.

13-    It is possible to replace the documents specified in this article with a certificate issued by a public authority to the effect that it has those documents available with it, and that they fulfill their legal conditions provided that these documents are submitted upon awarding the business to the bidder.

14-    It is a condition that " not more than three months " have elapsed after the issuance of the documents indicated in the items ( 2-3-4-5).

15-    If a local bidder wishes  to make use of the advantages of Resolution No. 1040 of 15.3.2004 and its amendments, he must submit a document containing that the percentage of the added value which is indicated in the mentioned resolution and exceeds the 40 % limit and all the other documents specified in it are certified by the Ministry of Industry or its directorates in the Governorates.

B)  For Foreign bidder.

1-       He shall comply with items (1-6-7-8-9-10-11) of article (8-1) paragraph (A).

2-       A declaration that the offered materials are produced (manufactured) by the bidder. If the bidder is not the manufacturer of the materials, he should submit a letter of authority issued by the producer by which he authorizes the bidder to sell the offered material in Syria, provided it is in the original copy.

3-       A copy of the Agency document of the bidder's agent in Syria newly certified by the Syrian Ministry of Economy & Trade, according to Article No. 15, or submission of a declaration by the bidder to the effect that he is under commitment to submit a copy of the agency document recently certified, before confirmation of the order, and in accordance with Decree No. 15 and its executive instructions.

4-       A declaration from the bidders (in the countries where there is no Syrian Embassy) to the effect that they confirm their agreement on transferring or settlement of consular charges/fees together with their fines on the demand of the Buyer, or their agreement to deduct the levied amount from the performance bond, according to Article No. 11.

5-       Submission of the following declaration literally, and signed by the bidder: " We do not own any factory, establishment, or a branch office in Israel, and are not a participant in any establishment or any corporation in it, and are not party to any contract for manufacture, assembly, license, or technical assistance with any establishment, corporation, or person in Israel, and do not practice such an activity in Israel whether by ourselves or through an intermediary, and do not share in any way in supporting Israel and its warfare effort".

6-       Foreign companies which have no branch or a resident representative in Syria shall be exempted from submitting the documents specified in the items ( 2-3-4-5) of Article 8-1- Para (A).

8-2- Envelope (2) containing the Technical offer, the Technical specifications, and the

detailed drawings in accordance with the Technical Conditions, and stamped in the bidder's stamp and signed by him. It should not contain any prices, reservations, or legal / financial conditions. If any of these occurs, they shall not be considered.

   8-3- Envelope (3) : containing   the  financial  and  commercial  offer,  together  with  the  table  of

unit and total prices and the quantities and their volume after packing  and capacities of containers (20-40) feet, delivery time, shipping port, containers’ demurrages free time of not less than 21 calendar days in case of CFR confirmation as per article (3), and it should be stamped in the bidder's stamp and signed by him, and containing as well the detailed prices of the wages/ charges of the qualifying & modernizing.

-          Offers by fax, e-mail, or by any other means inconsistent with what is mentioned in this Article   

      shall  be declined.

Art.9. Legalization of commercial invoice and certificate of origin: 

For international offers, the contractor should get one copy of the invoice and one copy of the certificate of origin legalized in the Syrian Embassy and certified by  the  Chamber of commerce in the country of origin, country of export, or country of beneficiary. If a Syrian  embassy is not there (in these  countries), one original copy of the invoice and certificate of origin should be certified by the Chamber of Commerce in  one of these countries provided that the Contractor confirms his agreement to transfer the amount of consular charges plus 50% of the amount of consular charges as a penalty for non-legalizing them in the Syrian Embassy, and should confirm his agreement to our deducting them in the amount of the performance bond.

-          As for the bidders for deliveries from Arab origin, they should be committed to  present the certificate of origin in the format of the Arab League.

-          Arab states who are members of the Large Arab Free Trade Zone Agreement, or Arab and foreign  states who signed bilateral trading agreements with Syria shall be exempt from the consular legalization of certificates of origin and commercial invoices for goods of national origin provided a like-treatment is applied.

Art.10. Proforma invoice: 

International Bidder should send by fax a Proforma invoice in conformity with the order-confirmation terms within (7) calendar days as of the date of advising him the confirmation. The original copies should be sent by express mail so as to be received by Administration within (20) calendar days as of the date of his receiving the confirmation fax. If the contractor has  not submitted  the documents and information mentioned above after the expiry of the fixed time-frame, Administration shall be entitled to withdraw the undertaking and have the execution done on his account.

Art.11: Original documents for customs clearance ( Shipment Advice ):

The Contractor is committed to submit the original documents to the correspondent bank within (7) calendar days at most as of B/L date, with respect to the neighboring countries the deliveries shipped from which to Syria take (5) calendar days, as it is essential to receive the original documents for customs clearance, and send an original copy of Bill of Lading by express mail. As for the other countries, the contractor is committed to submit the original documents to the correspondent bank within (21) calendar days as of B/L date.

- The supplier should send a copy of the bill of lading and invoice by fax to Administration, as a notice of the shipment of the deliveries, within (3) calendar days as of B/L date.

Art.12. Chosen Domicile: 

The Bidder should specify a Chosen Domicile for himself in Syria clearly and explicitly, indicating city name, quarters name, street name, building No., and flat No. The address of a hotel or House of a Commercial Attaché of an Embassy is acceptable for a chosen domicile conditionally on submitting a written consent from them. The said chosen domicile shall be considered a binding one for the contractor even if he moves from it to another domicile, unless he advises Administration, in written, about his new chosen domicile in the same city, otherwise all notifications to be sent to his first chosen domicile shall be considered legally correct, inclusive of judicial notifications.

-          A bidder who is non-resident of Syria or a foreign bidder shall have the right to  specify a chosen domicile for himself outside Syria in the same way as indicated for specifying the chosen domicile inside Syria.

Art.13. Trading Agent:

No dealings with middlemen or brokers are permitted unless they are legal agents. The offers should be submitted by producers or those they authorize to sell their products in Syria. It is preferred also that the country of origin and country of shipment and country of the contractor are one country unless they belong to the EEC. Bidders who have official agents in Syria should explicitly mention the names of their trading agents in Syria, in accordance with the legislative decree No. 51 for the year 1979 and the provisions of the legislative decree No. 15 for the year 2001 and the resolution of Prime Minister No. 25/ M dated 19.6.2002 which provides for accepting International offers the total value of which does not exceed USD 100.000 with respect to bidders who do not have agents in Syria. Companies who have permanent branches in Syria are excluded from submitting the agency document provided that they submit copies of their "Branch Registration in Syria". Official agents of the bidders in Syria should send copies of their Agencies documents approved by the Syrian Ministry of Economy and Foreign Trade whatever the value of the undertaking amounted.

-               If the bidder is a commission agent, he should clearly indicate in his offer the net rate of his commission. This commission shall be paid directly to the agent in Syrian Pound based on the exchange rate which the Foreign Currencies Exchange Bureau specifies and which is valid on the documentary credit opening date. Alternatively, there can be a direct transfer of the value after the final acceptance in accordance with the contractual conditions. This shall be effected through deducting the agency commission rate from the due invoice, and it is transferred by Administration to the agent. Therefore, the commercial invoice should contain the agent's name, the agent's commission rate, and an authorization to our bank to deduct the commission.

Art.14: Stamp Duty and Income Tax:

1-       All the taxes, charges, expenditure, and the expenses of Credit opening and confirmation shall be borne by the contractor outside Syria, and also  the expenses of issuing the bank guarantees, the fees of the consular legalization, and the contractor shall also bear the contract stamp duty for two copies amounting to (0.008) eight per thousand of the total order value. This duty, without any need for reminding, should be transferred to the account of Hama Finance Directorate with the Central Bank of Syria in Hama  ( No. 3203/20) within (30) calendar days as of the date when he receives the  order confirmation. The contractor should send a copy of the transfer Swift to Administration by fax within (3) days of Transferring provided that the full amount is received in the account of Hama Finance Directorate. If the amount is not settled within the fixed time-frame, a fine equaling two times the stamp duty amount shall be imposed.

2-       The Contractor shall bear the non-residence tax levied on the salaries and fares of the contractor's personnel.

3-       Syrian Contractors and those legally treated so, shall bear 2% of the value of the deliveries as an income tax and it shall be transferred to Hama Finance Directorate in accordance with Law No. 60/2004.

Art.15: Marking of the Materials:

The Supplier should register the deliveries name, net and gross weights, production date, and producer name on the packing of the deliveries.

Art.16: Notification: 

A-          All advisings, correspondence, notifications, and warnings to be sent from Administration to the contractor shall be considered correct when they are delivered to him personally or to his agent or legal representative or when they are sent to his chosen domicile or to his agent or legal representative by registered mail or telegraph provided that it confirms  its content by a registered letter to be sent by mail or by one of the means acceptable for judicial verification, to the address indicated by the contractor in the contract, and the contractor shall be held as legally advised of these correspondence, notifications, and warnings, as under:

1-       Immediately, in case when they are delivered to him, his agent, or his legal representative.

2-       Within (48) hours, if they are sent by telegraph.

3-       Within (5) days with respect to contracts, if they are sent by mail to his chosen domicile as indicated in the contract.

B-           If it is not possible to effect the advising in accordance with what is mentioned in this article, the Administration in case of need may resort to advising him in a local newspaper.

C-           The contractor is held responsible for all his obligations and liable for the levied delay penalties immediately after their fixed dates have fallen due, without the need for any warning  or procedure by  the Administration.

Art.17: Signing of the contract (FOR INTERNAL CONTRACTOR ):

The nominated contractor should sign the contract within (15) calendar days as of advising him the awarding of the business to him. If the nominated contractor has failed to sign the contract within (15) days as of the date of advising him the awarding of the business to him, and if he has failed to present himself or has refrained from signing the contract in accordance with the provisions of the special conditions book and his accepted offer, the submitted bonds shall be seized, and the public authority shall have the right to claim from him a compensation for all the damages in case of need.

Art.18: Acceptance:

A)      The Administration will set up a committee whose task is to temporarily accept the items of the undertaking in steps:

            Step 1: Conformity acceptance of the press & its equipments (in presence of the contractor or its  representative) with the technical documents, drawings,  catalogues and operation instructions.

            Step 2: After the completion of re-qualification, modernization, and installation of the press  on its base and carrying out of the trial temporary operation test, the bidder should submit an official letter to the Administration of the Company to inform it about  the completion of  the works and that the press is ready to cure tyres and ready for temporary acceptance so that the beginning  of the guarantee period is defined. The temporary acceptance certificate  will be issued  after a period of (30) thirty days as of  the date of  the letter  and the acceptance  of its content. If there are any remarks, they should be removed by the contactor so that beginning of the guarantee period is defined.

B)      Final acceptance of all the items of the undertaking shall take place after a period of (365) calendar days as of the completion date of the Temporary Acceptance Trial and putting into operation.

Art.19: Guarantee:

A)            The contractor shall guarantee all the contracted items for (365) calendar days as of the temporary acceptance date, and he shall be obliged, throughout this period, to replace any machine, material, or part that prove to be ill-functioning or ill-manufactured, but he shall not be responsible for the defect caused by Administration.

B)            The machine in which a main part has been replaced shall be given a fresh guarantee period equal to the original guarantee period starting from the replacement date and putting it in operation again.

C)            If, after the expiry of the mentioned guarantee period, there appeared a defect which the contractor intended to conceal, the guarantee shall keep valid for the original guarantee period starting from the date of fault appearance or knowing about it.

D)            All the supplied items should be new, not re-conditioned, and have not been previously put into operation.

E)             The contractor shall bear all the expenses of the guarantee trials if they fail inclusive of the cost of the wasted raw materials if he is the causer of that.

Art.20: Inspection of the deliveries:

The Administration has the right to depute one or more representatives to see and inspect, or test any one of the Communication's items before shipment in order to verify their conformity with the technical specifications submitted in the contracted offers, at Administration's account, without any responsibility for its part. However, this shall not discharge the contractor from its responsibility that may arise from shortage or faults and ill-manufacture.

Art.21: Settlement of disputes:

All differences that may arise between the Contractor and Administration shall be amicably settled, but if an amicable agreement to solve them could not be achieved, they shall be referred to the Syrian courts of law/Administrative Jurisdiction for trying in accordance with the laws and regulations in force in Syria.

Art.22: Closing date:

Closing date is the end of the official working hours on   14 . 11 . 2011.

Offers’ opening session shall take place in the meeting room of the General Tyre Company in Hama on the day next to closing date.

Art.23:

The Law No. 51 and Decree No. 450 for year 2004 shall be applied for all that is not mentioned in the conditions of this Communication, and if these texts are insufficient, the Syrian Arab legislation shall be the competent reference for interpretation.

TECHNICAL  SPECIFICATIONS AND CONDITIONS FOR QUALIFYING

AND MODERNIZING ONE PRESS SIZE 63 ½" B.O.M. DUAL-DOME,

MANUFACTURER:  SKODA (CZECH COMPANY) YEAR 1978

 

 

A) Objective of qualifying & modernizing the press together with all its equipments

1-       There should be an economic benefit (economic feasibility) from the re-qualification & modernization.

2-       The execution of the production process on the press should be easy, and the maintenance woks should be easy and in the result the production capacity should be higher.

3-       Provision of better safety at worksite  -  closing force of the press together with the safety systems should be met/achieved.

4-       Keeping pace with the modern technological requirements.

5-       Obtaining tyres in quality with guaranteed high-quality curing.

6-       Virtual lifetime of the press after re-qualification & modernization should be 8-10 years.

 

B) The press is assigned for curing heavy truck tyres size 20"- 24" Radial,

       Diagonal, All-Steel

 

C) The re-qualification & modernzation includes the following:

    1. Green tyre loading hoist & its equipments, and the safety factors for the safety of worker, hoist, and press, and the green  tyre should be loaded easily and safely.

    2. Finished tyre removing hoist & its equipment, and the finished tyre should be removed and taken out easily & safely from the press, together with provision and installation or re-qualification of the equipments needed for the up-and-down going movements of the bladder.

     3. Stabilizer  machine & its equipments, and the production process should go easily & safely.

     4.Opening & closing mechanism of the press  -  the gearbox & all that links to it  -  transmission gears and their seats, shafts, and bushes, and documenting the dimensions on the drawing.         

     5. Press mechanical arms  -  their accuracy  -   mechanical arms bushes and seats, and documenting the dimensions on the drawing.

     6. Upper molds chamber seats & carrier, and documenting the dimensions on the drawing.

     7. Mold setting devices  -  Adjustment  -  together with changing them into automatic system if there is a possibility for execution  -   and provision & installation of all the needed equipments.

    8. Re-qualification of mold chambers and all the equipments linked to them together  with re-insulating the lower chambers and submitting the needed suggestions.

   9. Examination of the metallic frame of the press. The metallic frame of the press after the re-qualification should be able to withstand the loads resulting from the working circumstances, maintenance works, and the closing force of the press, together with an extra safety reserve as the press has been in operation since 1980 and its metallic frame has been undergoing  the thermal climatic factors and the various changes of temperature, closing loads, and molds pressure. Additionally, the bidder should submit a declaration of commitment to guarantee the metallic frame of the press during working, and the seats of gears bushes on the metallic frame of the  press should be analogous (corresponding one to another) on the two sides of the  press, and should be in line with the international systems related to accuracy, tolerances, and fits, together with documenting the dimensions  on the drawing.

10. Provision & installation of a new lubrication system together with an illustrative drawing showing lubrication points, and the equipments of the lubrication system, together with alarms/warning systems that indicate faults occurences.

11. Specifying the name of country of origin and company's name & address, for the  the equipments that will be provided, installed on the press or supplied, and they should be new, not re-conditioned.

12. The bidder should come to the General Tyre Company to see the press and the components of its equipments and specify the  volume of work that can be executed in Syria under the supervision of the bidder or who it authorises to do so or in accordance with its drawings, on the machining machines existing in the mechanical workshop section or in the public or private sector, or transporting the press to outside Syria.

13. Provision and installation of a new modern control system that meets/realizes the specifications of tyre curing steps /phases, and the working mechanism of  the press together with its equipments, and provision of adequate explanation about its working conditions and setting a password for each executive work phase together with the specifications.

14.  Provision and installation of temperature recording and controlling units for the molds chambers steam,  together with the equipments, together with recording the pressure inside the bladder and water temperature inside the bladder, and the controlling of temperature should be in accordance with the required values.

15. Provision and installation of pressure gauges for molds chambers steam together  with alarm & safety systems and realisation  of full saftey for the working of the press during curing phase, and accuracy of the equipments sensitivity.

16. Provision of the manual, automatic, non-return, and saftey valves needed for the perss functioning and tyre curing.

17. The installation & assembly works of the press should be executed by the workers in The Company together with provision of the cranes/lifts needed for the completion of the work under the supervision of the bidder or its representative.

18. Commitment to provide all the needed technical documents, drawings catalogues, and operation instructions, in three copies in the English language.

19. Guarantee the working of the press for 365 days as of the provisional acceptance date.

20. Provisional acceptance:

     The provisional acceptance will be carried-out by a committee from the General Tyre Company in steps:

      Step 1: Conformity acceptance of the press & its equipments (in presence of the contractor or its representative) with the technical documents, drawings, catalogues and operation instructions.

     Step 2: After the completion of re-qualification, modernization, and installation of the  press  on its base and carrying out of the trial provisional operation test.

     The bidder should submit an official letter to the administration of the Company to inform it about the completion of the re-qualification & modernization works and that the press is ready to cure tyres and ready for provisional acceptance so that the beginning  of the guarantee period is defined. The provisional acceptance certificate will be issued  after a period of (30) thirty days as of the date of the letter's content and the acceptance  of its content. If there are any remarks, they should be removed by the contactor so that beginning of the guarantee period is defined.

21. The bidder should be committed  to put a schedule/program for training in operation, programming, and maintenance of the press.

22. The curing/ vulcanization of the tyres will be made in accordance with the curing system used/ approved by the Tyres Company, linked to the  hot water station.

23. Painting the press & its attachments with a paint that resists ambient conditions.

24. Execution period should be the shortest possible one: Not exceeding (90) days as of the Commencement Order date.

25. All the documents and drawings in the company's library will be forwarded to the Contractor or Bidder for the completion of the work upon request. 

26.  The bidder should be committed to provide the spare parts and  software for the presses to continue working for a period of ten years.

27. The bidder should be committed to provide a list of spare parts for the press to continue in operation throughout  a period of three years. The Tyres Company has the right to choose what is suitable for it.

28. Modernizing the electricity system of the press  -  air system  -  together with providing all the drawings and all specifications.

29. The bidder may provide proposals  -  options  -  modification  -  together with technical justification.

COMMUNICATION CALLING INTERNATIONAL – INTERNAL PRICE-OFFERS

Financial Conditions for Re-qualifying the Control and Power Supply System of the

 4-Roll Textile Rubberizing Line Manufactured by the Czech Company (Buzuluk)

 

Art.1: Purpose of the Communication:

Supplying, installing and putting into operation of all that is connected with replacing the power supply system (WORD LEONERD) with a power supply system using Frequency Converters, together with replacing the DC motors with AC Motors so as to be compatible with the new system, and together with replacing the control system of these motors, and the linking among them using a developed PLC-based control system.

A-      Bid bond for international offers: The bid bond for international offers is to be submitted for the amounts indicated in the table above, in form of one or more banking guarantees in Euro or equivalent in other approved foreign currencies except the U.S. Dollar in favor of the General Tyre Company in Hama, issued by any bank in Syria approved by the competent authorities. Administration will prefer to deal with the Commercial Bank of Syria, Branch No.1 in Hama (SWIFT: CMSYSYDAAHA1). The bid bond should be received in the General office of our company before the expiry of closing date . Every offer uncovered by a bid bond shall be declined.

B-       Bid  bond against an internal offer is to be submitted for the amount indicated in the table above in form of one or more banking guarantees issued by any bank in Syria approved by the competent authorities. Administration will prefer to deal with the Commercial Bank of Syria, Branch (1) in Hama, or in form of a cheque authenticated by any bank in Syria approved by the competent authorities and endorsed in favor of Administration, or in form of a payment Note for the cash-payment of the sum in the cashier office of Administration, or a banking transfer. However, these all should be received in the General office of our company before the expiry of closing date. Every offer uncovered by a bid bond shall be declined.

C-       Performance bond for international offers shall be submitted for 10% of the total value within /30/ calendar days from the date of the written notification of the undertaking awarding decision to the contractor, in the same method as specified for bid bond submission . If the performance bond is not issued within this time-frame, Administration will be entitled to seize the bid bond and effect the purchase at the contractor's expense and sue him for the damages resulting thereform without the need for giving any warning or notice, and take all legal actions that safeguard Administration's right.

D-      Performance Bond for internal offers:

The performance bond shall be submitted, before signing the contract, for 10% of the total value within / 10 / ten calendar days as of the date when the contractor is advised in written the decision of the undertaking awarding to him, in the same method as specified for submitting bid bond. If the performance bond is not issued within the specified time frame, Administration will be entitled to seize the bid bond and effect the purchase at the contractor's expense and sue him for the damages resulting therefrom, without the need for giving any warning or notice, and take all legal actions that safeguard Administration's right. However, the submitted bid bond can be treated as a performance bond if the contractor, has settled the difference between the two bonds amounts. If the bid bond is submitted in form of a bank guarantee, it must be replaced with a new guarantee for the amount of performance bond, and the bid bond guarantee shall be returned to him immediately, and the contractor shall bear the expenses of the two bonds: the bid and performance bonds.

E-       For international offers, the bid bond shall be released to the successful bidder immediately after receiving the performance bond, and the contractor shall bear all expenses of the bid and performance bonds issued by him inside and outside Syria. The bond of the unsuccessful bidder shall be released immediately after the issuance of the Committee's Minutes and he shall bear all the expenses of the bond inside and outside Syria .

F-       For internal offers, the successful bidder's bid bond shall be released immediately after receiving the performance bond. If no order confirmation is awarded to him, the bid bond shall be returned to him immediately after the issuance of the Minutes of the Committee.

G-      Bid bond shall be returned to the bidder whose offer was not accepted by the Communication Committee, immediately .

Art.3: Payment terms :

A)    For international offers, the payment for the deliveries shall be effected as follows:

-          90% of the value of the documentary credit for deliveries against presentation of clean documents to the bank

-          10% of the value of the documentary credit for deliveries after the issuance of the Provisional Acceptance Act against a documentary credit irrevocable and confirmed. The confirmation expenses shall be at Administration's account inside Syria, and on the contractor's account outside Syria. As for the selection of the Credit's correspondent and advising banks, this is the business of the General Directorate of the Commercial Bank of Syria. However, we can convey the bidder's preference ( for a certain nominated bank) to the General Directorate of the Commercial Bank of Syria but this preference shall not constitute a binding condition to Administration . The Expenses for amending or extending of credit shall be  borne by the causing party, but the contractor   shall not be exempt of delay penalty as mentioned in Article (9) in case of unjustifiable extension of the credit that  leads to late arrival of the deliveries to Administration.

B)      For internal offers :

The payment shall be effected ( under a contract governing the obligations of the two parties in accordance with the law No.51 and Decree No. 450/ year 2004 ) after the issuance of the Act of the Provisional Acceptance Committee.

Art.4: Prices for deliveries :

A-      Prices for international offers ( according to the content of Article 1 ) :

Prices for international offers should be quoted in Euro FOB country of origin or export port and CFR Lattakia provided that the shipment shall be effected exclusively through the Syrian General Authority for Maritime Transport or by its agreement, on regular and new vessels. The age of the vessel should not exceed (15) years. If the age of the vessel is higher up to (30) years, it must travel along a regular line, otherwise penalties for vessel age shall be incurred. The shipment shall be effected  in containers as FCL or LCL  with a demurrage free time of not less than (21) calendar days from the last day of vessel discharging day in the Syrian port of destination. Bidders who wish to make their offers on basis of land transportation by trucks should submit their prices on the basis of delivery FOT on the transporting truck at the warehouse of the producer or beneficiary and CPT Hama to Administration warehouse .

-          Bidders who wish to transport by train should quote their prices on the basis of FOT train station in the country of origin or country beneficiary, and should give the name of the train station, and  CPT Hama Train Station. The packing should  be good for transportation by sea and by land to guarantee the arrival of the goods to Administration warehouse in good condition, and conforming to the technical specifications and packing as indicated in the books of conditions. If the materials are supplied in a wooden packing, the wooden packing material should be disinfected and stamped by the international official stamp of standard No. (15) issued by United Nations Food & Agriculture Organization (FAO) that indicates that these materials have been thermally–treated (HT) or Methyl Bromide-treated (MB).

-          If the confirmation to the contractor is CFR based, he must open a letter of credit for the amount of freight charges to the Syrian General Authority for Maritime Transport or transfer the freight charges to its account, or agree on a convenient means of shipment with the Syrian General Authority for Maritime Transport .

B-      Prices internal offers ( according to the content of Article 1). The prices shall be quoted on the basis of goods delivery up to Administration site. International and Internal offers shall be compared on the basis of the cost of the materials delivered up to Administration site by adding to the international offers all expenses  incurred on  the order  up to  the  point when it reaches Administration site.

-          The bidder shall submit detailed prices for the deliveries, and the charges of installation and putting into operation, each item alone .

C-      The insurance relating to the contracted materials shall be made through the Syrian General Establishment for Insurance whether the insurance was the charge of the contractor or the public authority as the case might be. The bonds shall not be returned to him unless he has presented to the public authority a certificate issued by the Syrian General Establishment for Insurance evidencing that the insurance was effected through them and that he has settled the whole of their due amounts .

-       In case of confirmation as (CFR Lattakia), International contractor should send what evidences that the shipping charges have been paid to the Syrian General Authority for Maritime Transport, by fax. The original copy should be presented together with the original documents to the bank .

Art.5: Delivery :

A-      For international offers: Shortest time but not exceeding (60) sixty calendar days as of credit's receiving date .

B-      For internal offers : Shortest time  but not exceeding (60) calendar days as of the date of the commencement order. The materials of the offered deliveries should be available in the bidders' warehouses or local market.

C-      Installation & putting into operation Period: The shortest possible time but not exceeding (60) sixty calendar days as of the date of the equipment arrival in the site of our company . This period of time includes maximum (30) thirty calendar days during which the line will be out of operation .

D-      If the contractor fails to fulfill his contractual obligations within the specified period of installation and putting into operation, a penalty will be imposed on the contractor amounting to ( 5% ) five percent of the total value of the contract for each day in delay in addition to the delay penalty stipulated  in Article (9) and Administration shall be entitled to have the work executed on the account of the contractor without giving any warning.

E-       The periods of time for delivery, installation, and putting into operation should be specified in the submitted offer, each period of time alone .

F-       The period of time for delivery, installation and putting into operation shall be taken into account during the financial evaluation .

Art.6: International Control Certificate :

The international contractor shall submit an international control certificate issued by one of the following international control companies: (SGS, LLOYDS, or Veritas) at his cost/account for each lot. The contractor should not effect any shipment unless the Administration has approved the copy of the control certificate which must be sent by the contractor to the Administration before shipment. The original copy shall be sent together with the documents to the credit's opening bank.

Art.7 : Matching:

The supplied goods shall be compared at Administration site for matching with the shipping documents, by a special committee. The contractor can send his representative to attend this matching process .

Art.8: Guarantee :

A)            The contractor shall guarantee all the contracted goods for ( 365 ) calendar days as of the provisional acceptance date, and he shall be obliged, throughout this

period, to replace any machine, material, or part that prove to be ill-functioning or ill-manufactured, but he will not be responsible for the defect caused by Administration .

B)            The machine in which a main part has been replaced shall be given a fresh guarantee period equal to the original guarantee period starting from the replacement date and putting it in operation again .

C)            If, after the expiry of the mentioned guarantee period, there appeared a defect which the contractor intended to conceal, the guarantee shall be valid for the original guarantee period starting from the date of the appearance or knowing about the fault .

D)            The contractor shall undertake that all the deliveries shall be new, not re-conditioned, and have not been previously put into operation .

Art.9: Delay penalty :

  9-1         If the contractor has delayed the shipment of the deliveries beyond the time-frame

set in his offer, a daily delay penalty shall be imposed on him at the rate of one per thousand of the total value of the undertaking for each day in delay provided that the total penalty per undertaking does not exceed ( 20%) twenty percent of the total value of the undertaking even if the Administration has not suffered any damages, without the need for any notice or warning. The daily delay penalty will be calculated on the basis of the part in delay if the following two conditions have concomitantly been realized:

1- The other goods have been delivered within the specified time-frames

2-       The part in delay is independent, in normal use, of the other delivered goods.

Art.10: Bidder's commitment to its offer :

-          The bidder shall be committed to its offer for (60) calendar  days from closing date for confirmation. The bidder shall keep committed to its offer throughout the validity period indicated in the offer or the books of conditions . The offer validity shall be extended before its expiry by mutual agreement of the two parties. If the successful bidder is not given the confirmation order within the offer validity, he shall have the right to get free of its offer within (7) calendar days following the expiry of the said period under a written letter to be registered

in the general office of the contracting party, otherwise the bidder's commitment to its offer shall be renewed for another period equaling to the first period and so on every time, provided that the engagement period of the nominated contractor to his offer does not exceed (six) months as of the contract signing date .

-          The nominated contractor should sign the contract within (15) calendar days as of the date when he receives the invitation for coming to the Administration's site for signing of the contract. If the nominated contractor has failed to sign the contract within (30) days as of advising him the awarding of the business to him, and if he has failed to present himself or has refrained from signing the contract in accordance with the provisions of the relevant conditions book and his accepted offer, the submitted bonds shall be seized, and the public authority shall have the right to claim from him a compensation for all the damages in case of need, in addition to having the undertaking executed at the contractor's account .

-          The bidder shall be committed to its offer for (180) calendar days as of the contract signing date and it becomes in force for opening of the credit.

Art.11 : Offers Submission Method:

The offers should be submitted in three closed envelopes. These envelopes should be put in a fourth envelope addressed in the name of the General Tyre Company

in Hama, and it should be marked in the subject of the offer in accordance with the following :

  -             Envelope (1) containing the following supporting documents:

A- For internal bidder :

1-       He should not be banned of entering tenders or contracting with Public Authorities, and he should not be one whose money is under precautionary seizure in favor of public authorities or under executive seizure (against a written declaration by the bidder ) .

2-       He should be registered in the Trade Register, with respect to Syrian bidders and those legally treated so .

3-       He should be registered in a chamber of commerce, agriculture, industry, or tourism, as the case may be, in Syria with respect to Syrian bidders and those legally treated so.

4-       He should not be a worker for a public authority, nor a member of an executive office belonging to the Local Administration specifically in his governorate (under a newly-dated written declaration by the bidder, with respect to natural persons).

5-       He should not be convicted of a felony or a shameful crime unless his respect is given back to him (A newly-issued "non-convict" police record) with respect to natural persons .

6-       The required bid bond or a notice of its issuance .

7-       Address of the chosen domicile of the bidder, as per article (18) .

8-       Declaration from the bidder indicating the bidder’s financial and technical qualifications, and his fulfillment of the conditions which he is required to meet under the valid stipulations .

9-       FORM (A) duly filled-in, together with mentioning the parties for whom the bidder has executed similar projects or sales contracts.

10-    Submission of a declaration from the bidder to the effect that he has viewed the books of conditions, the general and special ones ( legal, technical and financial ) and the tables of the stated deliveries items, and that he accepts all the Communication's conditions (Financial, Technical, and legal).

11-    Public Authorities shall be exempted from submitting all the documents mentioned hereabove in this article .

12-    List of the names and quantities of the offered materials .

13-    It is possible to replace the documents specified in this article with a certificate issued by a public authority to the effect that it has those documents available with it, and that they fulfill their legal conditions provided that these documents will be submitted upon awarding the business to the bidder.

B)  For Foreign bidder :

1-       He shall comply with items (1-6-7-8-9-10-12-14 ) of article (11) paragraph (A) .

2-       A copy of the Agency document of the bidder's agent in Syria newly certified by the Syrian Ministry of Economy & Trade, according to Article No. 19.

3-       A declaration from the bidders (in the countries where there is no Syrian Embassy) to the effect that they confirm their agreement on transferring or settlement of consular charges / fees together with their fines on the demand of the Buyer, or their agreement to deduct the levied amount from the performance bond, according to Article No. 13.

4-       A declaration from the bidder to the effect that he does not own any factory, establishment, or a branch office in Israel, and is not a participant in any establishment or any corporation in it, and not a party to any contract for manufacture, assembly, license, or technical assistance with any establishment, corporation, or person in Israel, and does not practice such an activity in Israel whether by himself or through an intermediary, and does  not share in any way in supporting Israel and its warfare effort. This is to be submitted in form of a declaration by the bidder.

5-       Foreign companies which have no branch or a resident representative in Syria shall be exempted from submitting the documents specified in the items ( 2-3-4-5) of Article (11 ) Para (A) .

-          Envelope (2): containing the technical offer, technical specifications, and the detailed drawings according to the technical conditions, all signed and sealed in the stamp of the bidder. It should not contain any prices, reservations , legal or financial conditions. If any of these occur, they shan't be taken into account .

-          Envelope (3): containing financial and commercial offer, together with the  table of unit and total prices and the quantities and their volume after packing and capacities of containers /20-40/ feet, delivery time, shipping port, containers’

demurrages free time of not less than 21 calendar days in accordance with Article (4).

Art.12 : Quantity modification :

-          The Administration may increase or decrease the quantity of the confirmed materials at a rate not exceeding (30%) for each item or material of the undertaking, each alone, under the same conditions and prices as in the contract without the need for a new contract, provided that the value of the total increase or decrease does not exceed 25% of the total value of the contract .

-          In case of increase, the contractor shall be granted an additional period of time proportional to the nature and amount of such increase, and this applies only for such increase.

Art.13 : Legalization of commercial invoice and certificate of origin : 

The contractor shall get one copy of the invoice and one copy of the certificate of origin legalized in the Syrian Embassy in the country of origin, country of export, or country of beneficiary. If a Syrian  embassy is not there (in the country of origin, country of export or country of beneficiary), one original copy of the invoice and certificate of origin should be certified by the Chamber of Commerce in the country of origin, country of export, or country of Beneficiary provided that the Contractor will confirm his agreement to transfer the amount of consular charges plus 50% of the amount of consular charges as a penalty for non-legalizing them in the Syrian Embassy, and should confirm his agreement to our deducting them in the amount of the performance bond .

It is to be noted that the certificate of origin which has to be submitted from Arab countries should be in the format issued by the Arab League.

Art.14 : Proforma invoice : 

Foreign Bidder shall send by fax a commercial Proforma invoice in conformity with the order-confirmation terms within (7) calendar days as of the  date of advising him the confirmation. The original copies should be sent by express mail so as to be received by Administration within 20 calendar days as of the date of

his receiving the confirmation fax. In case of delay beyond the specified period of time, Administration shall be entitled to annul the contract and effect the purchase at Contractor's account.

Art.15: Original documents for customs clearance ( Shipment Advice ) :

-          International Contractor shall submit the original documents to the correspondent bank within (7) calendar days with respect to the neighboring countries, the goods shipped from which to Syria take (5) calendar days at most, as it is essential to receive the original documents for customs clearance, and shall send an original copy of Bill of Lading by express mail. As for the other countries, the contractor shall submit the original documents to the correspondent bank within (21) calendar days. If the contractor fails to comply, he shall bear the delay penalties that shall be imposed on the containers due to the inability to clear them due to non-arrival of the original documents before the arrival of the materials in the Syrian port, and the Administration shall have the right to procure the shipped material at the contractor's account.

-          The supplier shall send a copy of the bill of lading and invoice by fax to Administration, as a notice of the shipment of the goods, within (3) calendar days as of B/L date.

Art.16:

The contractor shall bear all the expenses of the guarantee trials if they fail, inclusive of the value of the waste raw materials if he is blamable for them .

Art.17:

The company has the right to depute one or more representatives on behalf of her to the working site of the supplier to see and inspect or test any one of the machines and equipment before shipment in order to verify their conformity with the technical specifications submitted in the contracted offers, at the Administration's account, without his taking any responsibility, However, this shall not relieve the contractor from his responsibility that may result from any shortage, defect, and ill-manufacture.

Art.18 : Chosen Domicile : 

The Bidder shall specify a Chosen Domicile for himself inside or outside Syria clearly and explicitly, indicating city name, street name, quarters name, building No., and flat No. The address of a hotel or House of a Commercial Attaché of an Embassy is acceptable for a chosen domicile of the bidder in Syria conditionally on submitting a written consent from them. The said chosen domicile shall be considered a binding one for the contractor even if he moves from it to another domicile, unless he advises Administration, in written, about his new chosen domicile in the same city, otherwise all notifications to be sent to his first chosen domicile shall be considered legally correct, inclusive of judicial notifications.

Art.19. Trading Agent

No dealings with middlemen or brokers are permitted unless they are legal agents. The International offers shall be submitted by producers or those they authorize to sell their products in Syria. It is preferred also that the country of origin and country of shipment and country of the contractor are one country unless they belong to the EEC. Bidders who have official agents in Syria should explicitly mention the names of their trading  agents in Syria.

-          If the bidder is a commission agent, he should clearly indicate in his offer the net rate of his commission . This commission shall be paid directly to the agent in

Syrian Pound based on the exchange rate which the Foreign Currencies Exchange Bureau specifies and which is valid on the opening date of the documentary credit by a direct transfer of the value after the final acceptance of the deliveries.

Art.20 :

1-       All the taxes, charges/duties, expenses, and the expenses of credit's opening and confirmation shall be borne by the contractor outside Syria, as well as the expenses of issuing the banking guarantees, the charges/ fees of the consular legalization, the taxes and duties/charges for the locally bought materials, and the profits income tax and the non-resident experts income tax if any, and the expenses on the wages of the Syrian workers employed by the contractor, and what will be imposed in term of charges in favor of the Social Security Establishment. It is to be noted that the stamp duty for two copies at the rate of (0.008) eight per thousand of the total value of the undertaking should be transferred by the contractor to the account of Hama Finance Directorate opened with the Central Bank of Syria in Hama, account No. 3203-20, within ten calendar days as of receiving the commencement order.

2-       Expenses for extending the credit's shall be borne by the causing party .

3-       The financial, legal, and technical book of conditions is considered an integral part of the Communication.

Art.21: Force Majeure :

The contractor shall fulfill his obligations within the time frames set for them. If there is any delay in fulfilling these obligations due to uncontrollable circumstances, force-majeure, or unexpected events which neither party has control over, and were not expected, the contractor shall submit a written request to Administration in (15) calendar days from the date of occurrence of such unexpected circumstances and events during the execution period .

Art.22:

An offer with more than one option is acceptable .

Art.23: Notification: 

-          All advisings, correspondence, notifications, and warnings to be sent from Administration to the contractor shall be considered correct when they are delivered to him personally or to his agent or legal representative or sent by registered mail, telegraph, or by one of the means acceptable for judicial verification, to the address indicated by him in the contract, and the contractor shall be held as legally advised of these correspondence, notifications, and warnings .

-           The contractor shall be  held responsible for all his obligations and liable for the   levied delay penalties immediately after their fixed dates have fallen due, without the need for any warning  or procedure by  the Administration.

Art.24: Settlement of disputes :

All differences that may arise between the contractor and Administration shall be amicably settled, but if an amicable agreement to solve them could not be achieved, they shall be referred to the Syrian Administrative Jurisdiction for judging in accordance with the laws and regulations in force in Syria .

Art.25: Final Acceptance :

The final acceptance of all the works shall be effected a year after the date of the provisional acceptance i.e. the acceptance which marks the success of guarantee tests and realization of production capacities in accordance with the technical conditions.

Art.26 Closing Date :

The offers should be submitted to the General office of the Administration of the General Tyre Company in Hama. Closing date is the end of the working hours on   22 . 8 . 2011.

Art.27: Language of the Contract:

For international bidder, the contract will be drawn-up in Arabic and English, and if there is a difference on interpretation, the Arabic language shall be the prevalent one.

Art.28:

The Law No. 51 and Decree No. 450 for year 2004 shall be applied for all that is not mentioned in the conditions of this Communication.

TECHNICAL CONDITIONS

 

         For Re-Qualifying the control and power supply system of the 4-Roll textile rubberizing line manufactured by Buzuluk/ Czech Republic.

First: Purpose of the announcement :

Supplying, installing, and putting into operation of all that is connected to replacing the power supply system ( word Leonard with a power supply system using frequency converters, along with replacing DC motors with AC motors so as to suit the new system, and replacing the control system of these motors, and the linking among them, with a developed PLC-based control system.

Second: The Required Scope of work :

A-      Replacing the power supply and control system of the tension machine No. (1) together with replacing the existing motor 2.7 Kw, 1500 RPM .

B-      Replacing the power supply and control system of the tension machine No. (2) together with replacing the existing motor 28  Kw, 1400 RPM .

C-      Replacing the power supply and control system of the tension machine No. (3) together with replacing the existing motor 28  Kw, 1400 RPM .

D-      Replacing the power supply and control system of the 4 – Roll  machine

together with replacing the existing motor 220 Kw, 920 RPM .

E-       Replacing the power supply and control system of the wind-up machine No. (1) together with replacing the existing motor 10  Kw, 1800 RPM .

F-       Replacing the power supply and control system of the wind-up machine No. (2) together with replacing the existing motor10  Kw, 1800 RPM .

G-      Replacing the hygrometer and steam control valve and supplying all the attachments needed for putting the steam control circuit into actual working condition .

The Bidder shall supply AC motors with power capacities and RPM speeds that fulfill the required work, to replace the motors mentioned in the above items .

Third – Technical Specifications :

1-       The power supply system of the motors shall be frequency converter type .

2-       The control system shall be modular PLC type, extensible, with central memory not less than 128 KB extensible and able to deal with digital and analogous inputs .

3-       The control system shall be an open one and futurely linkable to our company's General information network and data base, so as to provide the information and statistics needed by decision makers .

4-       Specifying the quantity of the digital and analogous inputs and outputs (I/O) of the proposed PLC .

5-       The system shall be equipped with a computer working on Unix or windows system, providing the possibility to address and command, and loaded with the data base and the package of system software, and archiving of data, and providing prompt, periodic, and statistical reports from production printed on a printer with standard specifications for the work, and the hard discs unit shall be ( SCAZY) type,

6-       All parts and compounds of the system shall be high quality and of the modernest technology .

7-       Indicators shall be installed to show the real-time speed values of the line constituents, and shall be linked to the computer. The measuring unit is (meter/ minute) .

8-       There shall be an indicator to measure production quantity in running meter, and it shall be linked to the computer .

9-       Stop circuits shall be able to receive all stop commands, and shall be independent for each compound of the system constituents, and there shall be an all-out stop circuit as well .

10-    There shall be a protection system against over- temperature of the ball bearings of the 4-roll machine, and against lower lubricant quantity .

11-    There shall be a protection system for oil / lubricant pressure in the gearbox of the 4-roll machine, together with cooling water

12-    All warning accesses shall be of a light-insulated type, and shall give intermittent light warning signal and sound signal during the occurrence of the warning state, and shall keep the light signal on in the event of warning reception .

13-    The warning panel shall contain three push-buttons: One for acceptance, one for resetting, and one for testing of the lamps .

14-    The window shall show the number and type of the warning .

15-    Supplying all the attachments and complements needed for putting the system into operation .

16-    Supplying all technical drawings documents and catalogues needed for utilization and maintenance .

17-    Supplying lists of spare parts showing part name, lifetime, and importance for the system .

18-    All parts shall be qualified to be in operation round the 24 hours of the day

19-    Line required speed :

a.        Running the complete line ( 6-60 ) meter/ minute, in case of production .

b.        Running the complete line at a constant speed (6) meter/ minute in the forward direction .

c.        Running each motor individually at (6) meter/ minute speed in the forward and backward directions .

d.        Running the motor of the 4-roll machine individually at 6-60 meter/ minute speed in the forward direction .

20-    Commitment to provide original packages together with books for all programming languages used in the system, data base, operation system, and programs .

21-    Training: the bidder shall be committed to train the technicians in programming PLC systems and the provided programs and to train the technicians in dealing with all compounds of the system programs ( copying, loading, modifying the values, and the like ) and shall be committed to submit the full analysis and description of these programs .

22-    The bidder shall provide full description of the solution offered by him .

23-    The execution period shall be the shortest possible time and it shall cover the supply, the installation, and putting into operation .

24-    The bidder shall guarantee all the supplied equipment and systems for one year as of the date of putting them into actual operation for ( 365) calendar days after the provisional acceptance .

25-    The bidder shall take into account that the replacement of some equipment in accordance with the conditions of this announcement shall not affect in any way the functioning of the other rubberizing line equipment that have not been replaced .

26-    Provisional acceptance trial shall be carried-out in the following steps :

a.        Carrying-out of operation trials on the supplied equipment and the machines of the rubberizing line without load in order to adjust the functioning of those machines and equipment in accordance with the technical documents of the submitted offer. The adjustment & calibration operations shall be carried-out by the bidder or his representative .

b.        After completing the execution of step (a) above, the rubberizing line shall be put into actual production for six days in accordance with the daily production plan in presence of the bidder or his representative .

c.        After the success of the trial under step (b) above, the line shall be put into guarantee period for one year (365) calendar days .

27-    The bidder shall have to visit the company in order to get acquainted with the working of the line and make inquiries about the needed information before he submits his offer .
